1. Agreement

These Terms of Service ("Terms") govern podcast production services provided by Podsonic ("Podsonic," "we," "us") to you ("Client," "you").

Your agreement with Podsonic consists of two parts:

  1. These Terms, which apply to all Clients and are not negotiated per Client; and
  2. Your Plan — the specific service package you selected and purchased at checkout, including cadence, episode length, deliverables, and pricing, as shown on your checkout page and on your recurring invoices.

Where these Terms and your Plan differ on a commercial detail (price, cadence, episode count, included deliverables), your Plan controls. Where they differ on a legal or operational term, these Terms control.

By completing checkout and accepting these Terms, you enter into a binding agreement with Podsonic.

2. Definitions

Episode — a single finished audio and/or video program produced under your Plan.

Billing Cycle — the recurring monthly period beginning on the date of your initial purchase and renewing on the same day each month.

Episode Buffer — the minimum number of recorded, unreleased episodes you are required to maintain, as described in Section 5.

Review Link — the link Podsonic provides giving you access to a completed episode for review prior to publication.

Revision Request — a single consolidated batch of change requests submitted in response to one Review Link, regardless of how many individual changes it contains.

Business Day — Monday through Friday, excluding U.S. federal holidays.

3. Services

Podsonic provides podcast production services as specified in your Plan. Depending on your Plan, services may include editing, show notes, transcripts, cover art, graphic design, clip production, publishing, distribution, and related deliverables.

The specific deliverables included in your Plan are those listed at checkout. Services not listed in your Plan are not included and may be quoted separately.

Podsonic engages independent contractors to perform production work. Podsonic remains responsible for delivery under these Terms.

4. Client Responsibilities

You agree to:

  • Provide recorded content, source material, and any required information in a timely manner;
  • Maintain the Episode Buffer described in Section 5;
  • Respond to Review Links within the window described in Section 7;
  • Secure all necessary rights, licenses, permissions, and releases for any content you supply, including guest appearances, music, clips, and third-party material;
  • Provide accurate billing information and maintain a valid payment method.

You are solely responsible for the content of your podcast, including its accuracy, legality, and any claims made in it.

5. Episode Buffer

To protect your release schedule, you are required to maintain a buffer of four (4) recorded, unreleased episodes at all times.

The initial buffer must be recorded and paid for in advance of your launch.

If your buffer falls below four episodes, Podsonic will notify you. Sustained failure to maintain the buffer is addressed in Section 13.

The buffer exists because your published release date is a fixed commitment to your audience. It is what allows Podsonic to absorb scheduling disruptions, guest cancellations, and revision cycles without a missed release.

6. Delivery and Publication

Podsonic delivers each completed episode via a Review Link.

Publication is on a notify basis, not a mandatory-approval basis. You have two (2) Business Days from delivery of the Review Link to submit a Revision Request.

If you do not submit a Revision Request within that window, the episode publishes as delivered on its scheduled release date.

This is intentional. It keeps your release schedule reliable and removes the most common cause of missed releases. If you prefer to review every episode before it publishes, you must submit your feedback within the two-day window.

You may, at any time, notify Podsonic in writing that you wish to waive review entirely and have episodes publish on delivery.

7. Revisions

Each episode includes one (1) Revision Request at no additional charge.

A Revision Request is a single consolidated batch of changes submitted in response to one Review Link. Submitting changes piecemeal across multiple messages after an initial batch has been actioned constitutes an additional Revision Request.

Additional Revision Requests are billed at $100 each.

Mistakes are not revisions. Technical errors on Podsonic's part — dropped audio, sync issues, incorrect cuts against provided direction, misspellings in supplied text — are corrected at no charge and do not count against your included revision.

8. Fees and Payment

Recurring fees. Your monthly subscription fee is charged in advance at the start of each Billing Cycle to the payment method on file. Production and publication for a Billing Cycle are contingent on payment for that cycle.

Launch package. If your Plan includes a one-time launch or onboarding package, it is charged at initial checkout. See Section 11.

Unused services do not roll over. Your Plan's episode allocation resets each Billing Cycle. Episodes you do not record, and included consultation time you do not use, are not credited, refunded, or carried forward. Failure to use available services does not entitle you to refunds, credits, or extended service periods.

Overage. Episodes exceeding the length included in your Plan are billed at $3.00 per minute beyond a five (5) minute grace period. Overage is calculated on final runtime and added to your next invoice.

9. Failed Payment

If a scheduled payment fails, Podsonic will attempt to collect over a period of ten (10) days.

If payment is not successfully collected within that period, your subscription is suspended. Production stops and scheduled releases do not go out until payment is resolved.

Suspension for non-payment does not extend your Billing Cycle, entitle you to makeup episodes, or reduce fees owed.

10. Rate Changes

Podsonic may change subscription rates with thirty (30) days' written notice, effective at the start of your next Billing Cycle following the notice period.

If you return from a pause under Section 12 and rates have changed during your absence, you must confirm acceptance of the current rate in writing before service resumes.

11. Launch Package and Asset Transfer

If your Plan includes a one-time launch package, it covers setup deliverables such as cover art, trailer production, music licensing, show website, and distribution setup, as specified at checkout.

The launch package is non-refundable once work has begun. These deliverables involve immediate contractor and licensing costs that cannot be recovered. If you cancel before work has begun, the launch package fee is refunded in full.

Ownership of launch assets transfers to you upon payment of your first full Billing Cycle. If you cancel before completing your first Billing Cycle, Podsonic retains ownership of launch assets and you receive no license to use them.

Any outstanding balance must be paid in full before final files and assets are delivered.

12. Pausing Service

Standard pause. You may pause service once per twelve (12) month period for up to ninety (90) consecutive days. Standard pauses require fifteen (15) days' advance written notice and all outstanding balances must be paid before the pause begins. Billing is suspended during an approved pause and your production slot is held.

Hardship pause. The fifteen-day advance notice requirement is waived in the event of a documented medical emergency, serious illness, death in the immediate family, or comparable personal emergency. A hardship pause takes effect immediately upon request. Podsonic may request reasonable documentation but will not delay the pause pending it.

In all cases: paused time does not extend your Billing Cycle, entitle you to makeup episodes, or reduce fees already owed.

A pause reaching ninety (90) consecutive days automatically converts to cancellation under Section 13.

13. Cancellation and Termination

Cancellation by you. You may cancel with thirty (30) days' written notice. Cancellation is effective at the end of the Billing Cycle in which the notice period concludes. You remain responsible for fees through that date and will receive all deliverables produced during the notice period.

No prorated refunds. Fees for a Billing Cycle in progress are not refunded or prorated upon cancellation. Deliverables owed for that cycle will be completed and delivered.

Unauthorized pause or non-communication. If you cease content delivery and communication for thirty (30) consecutive days without an approved pause, a fee equal to one (1) month's subscription rate becomes payable before services resume. Podsonic may, at its discretion, treat such non-communication as cancellation.

Material breach. The following constitute material breach and may result in termination by Podsonic:

  • Failure to deliver content for more than thirty (30) consecutive days without an approved pause;
  • Maintaining an Episode Buffer below the required minimum for more than sixty (60) days;
  • Failure to pay within thirty (30) days after written notice of non-payment;
  • Breach of Section 16 (Non-Circumvention).

File retention. Podsonic maintains the ten (10) most recent episodes in accessible storage. Upon termination, you have thirty (30) days to download your files, after which they may be permanently deleted.

14. Intellectual Property

Your content. You retain all rights to your original content, brand, name, and likeness.

Finished deliverables. Upon payment, ownership of finished episodes, cover art, and published assets transfers to you.

Project files. Podsonic retains raw multitrack recordings, project files, and working assets. These are production tools, not deliverables, and are not transferred.

Portfolio rights. Podsonic may reference your show and use finished episodes and assets as portfolio and marketing material, unless you opt out in writing.

15. Warranties and Indemnification

You represent and warrant that you hold all necessary rights, licenses, and releases for content you supply, including guest participation, music, and third-party material.

You agree to indemnify and hold harmless Podsonic and its contractors from any claim, damage, or expense arising from your content, including claims of copyright infringement, defamation, or violation of publicity or privacy rights.

16. Non-Circumvention

You agree not to directly engage, hire, or contract any Podsonic contractor, editor, or team member introduced to you through Podsonic, for a period of twenty-four (24) months following termination of services, without Podsonic's written consent.

Breach of this section entitles Podsonic to liquidated damages equal to twelve (12) months of your then-current subscription rate.

17. Warranty Disclaimer

All services are provided "as is." Podsonic makes no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

Podsonic does not guarantee specific audience growth, download numbers, monetization outcomes, search engine rankings, or platform algorithm performance. Podsonic makes no representations regarding third-party platforms including Spotify, Apple Podcasts, and YouTube, or any analytics or hosting services used in connection with your podcast.

Podsonic is not responsible for the accuracy, completeness, or quality of content you provide, copyright clearance of materials you provide, compliance with platform-specific content guidelines, or the legal compliance of your podcast content.

18. Limitation of Liability

Podsonic's maximum liability for any claim arising from these Terms or the services is limited to a refund of the fees paid for the specific affected episode.

Podsonic is not liable for indirect, incidental, or consequential damages, including lost profits, lost audience, missed sponsorship opportunities, or reputational harm.

19. Force Majeure

Neither party is liable for failure or delay in performance caused by circumstances beyond their reasonable control, including acts of God, natural disasters, government actions, public health emergencies, or infrastructure failures. The Episode Buffer described in Section 5 is the primary protection against such disruptions to your release schedule.

If a force majeure event prevents performance for more than ninety (90) consecutive days, either party may terminate with thirty (30) days' written notice.

Financial hardship, equipment failure from normal wear, and failure to provide content do not constitute force majeure.

20. Confidentiality

Each party agrees to keep confidential any non-public business information disclosed by the other in the course of the engagement, and to use it only for purposes of performing under these Terms.

21. Dispute Resolution

The parties will attempt in good faith to resolve any dispute informally before pursuing formal action.

Any dispute not resolved informally shall be settled by binding arbitration administered in Los Angeles County, California, under the rules of the American Arbitration Association. Each party bears its own costs.

22. Changes to These Terms

Podsonic may update these Terms. Material changes will be communicated with thirty (30) days' written notice to active Clients. Continued use of services after the notice period constitutes acceptance.

Each version of these Terms is archived with its version number and effective date. The version in effect at the time of your acceptance governs your agreement until you are notified of and continue service under a subsequent version.

23. General

Independent contractor. Podsonic is an independent contractor, not an employee, partner, or agent of Client.

Governing law. These Terms are governed by the laws of the State of California.

Severability. If any provision is found unenforceable, the remainder stays in effect.

Entire agreement. These Terms together with your Plan constitute the entire agreement and supersede prior discussions, proposals, and quotes.
